1. Acceptance and scope
These Terms of Use ("Terms") govern your access to and use of the website located at lunastat.app, including its subpages and any content, documentation, and downloads we make available on it (collectively, the "Site"). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
These Terms govern the Site only. The LunaStat desktop software is governed by the LunaStat End User License Agreement (the "EULA"), not by these Terms; if you install or use the software, the EULA applies to that use, and nothing in these Terms modifies the EULA. Purchases are processed by our merchant of record under its own checkout terms presented at the time of purchase. Our collection and handling of information in connection with the Site is described in the LunaStat Privacy Policy.
2. The Site
The Site provides information about LunaStat, product documentation, and access to software downloads. Site content is provided for general informational purposes, may be updated or removed at any time, and may describe features that are in development, subject to change, or not yet available. Nothing on the Site is a binding offer, a promise of future functionality, or a modification of the EULA. If the Site later offers accounts, paid features, or other services, additional terms will be presented at that time.
3. Permitted use
You may access and use the Site for lawful purposes connected with evaluating, obtaining, or using LunaStat. You agree that you will not: (a) interfere with or disrupt the Site, its servers, or its security features, or attempt to gain unauthorized access to any of them; (b) use robots, scrapers, or other automated means to access the Site at a volume or frequency beyond what an individual using a browser would generate, or harvest content or data from the Site in bulk; (c) frame or mirror the Site, or misrepresent your affiliation with Medresearch; (d) use the Site to transmit malware or any unlawful, infringing, or harmful material; (e) remove or obscure any copyright, trademark, or other proprietary notice; or (f) use the Site in violation of any applicable law or regulation.
4. Intellectual property
The Site and its content, including text, graphics, logos, images, documentation, and the design and arrangement of the Site, are owned by Medresearch or its licensors and are protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site and its content for the purposes described in §3. No other rights are granted. "LunaStat" and associated logos are marks of Medresearch; you may not use them without our prior written consent, except to refer to the product truthfully and without any suggestion of endorsement. Open-source components distributed with the software are licensed under their own terms, which are identified in the software's third-party notices.
5. Downloads
Software made available for download from the Site is licensed, not sold, and its installation and use are governed exclusively by the EULA presented at installation. Downloading from the Site does not grant any license beyond what the EULA grants.
6. Intended use; your analytical responsibilities; no professional advice
LunaStat is intended for statistical analysis, research, education, and support of analytical decision-making. It is not intended to diagnose, treat, cure, mitigate, prevent, or manage any disease or condition, and it is not intended to substitute for the judgment of a qualified professional. LunaStat performs the computations you direct. It does not determine whether an analysis is appropriate for your data or question, whether an association is causal, whether a result is clinically or scientifically meaningful, or whether any decision should be made on the basis of a result. Those determinations require human professional judgment and remain yours.
You, together with your institution where applicable, are responsible for: selecting analyses appropriate to your data and research question; evaluating the assumptions, limitations, and sensitivity of the methods you use; reviewing the quality and integrity of your data; validating and independently checking results before relying on them; and determining whether and how results are used, including in publications, regulatory submissions, clinical or public-health decisions, or other consequential uses, in accordance with the standards of your field, your institution, and your jurisdiction.
Site content, including documentation and worked examples of statistical methods, is general information about the software. It is not medical, clinical, diagnostic, statistical-consulting, legal, or other professional advice.
Educational content, including the LunaStat Academy training module offered within the software, is provided for learning purposes only. A LunaStat Academy certificate of completion recognizes personal completion of that module. It is not an accredited qualification, a professional license or certification, or continuing-education credit, it does not certify professional competence, and it is not issued by or affiliated with any academic institution or accrediting body.
7. Feedback and submissions; information you must not send
If you send us feedback, suggestions, or other submissions through the Site or by email, you grant Medresearch a non-exclusive, worldwide, royalty-free license to use them for the purposes of developing, improving, operating, and promoting LunaStat and related products and services, without obligation or compensation, and you represent that you have the right to grant that license. Submissions are not treated as confidential, so do not send us anything you are obligated to keep confidential.
Do not send us Protected Health Information (PHI), patient information or personal health information of any kind, patient-level or potentially re-identifiable data, confidential clinical, study, or institutional data, personal information about other people, or any dataset content, whether in feedback, support requests, or otherwise. The license above does not extend to any such information contained in a submission: we do not want it, we claim no rights in it, and if we receive it in error we will delete it on discovery. You are responsible for ensuring that anything you send us complies with your legal and institutional obligations.
8. Third-party links
The Site may link to third-party websites or resources. We do not control them, do not endorse them, and are not responsible for their content, terms, or privacy practices. You access them at your own risk.
9. Availability and changes to the Site
We may modify, suspend, or discontinue the Site, or any part of it, at any time without notice. We do not promise that the Site will be available, uninterrupted, error-free, or free of harmful components.
10. Disclaimer of warranties
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. THIS SECTION APPLIES TO THE SITE ONLY AND DOES NOT MODIFY, EXPAND, OR LIMIT ANY PROVISION OF THE EULA WITH RESPECT TO THE SOFTWARE ITSELF.
11. Limitation of liability
THE SITE IS PROVIDED FREE OF CHARGE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) MEDRESEARCH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DISSATISFACTION WITH, OR CLAIM ARISING OUT OF OR RELATED TO, THE SITE IS TO STOP USING THE SITE. FOR CLARITY, THIS SECTION APPLIES TO THE SITE ONLY; LIABILITY RELATING TO THE SOFTWARE IS GOVERNED BY THE EULA. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN THAT CASE OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD OR FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE WHERE SUCH LIABILITY CANNOT LAWFULLY BE EXCLUDED.
12. Indemnification
If you use the Site in the course of a business, profession, or institutional activity, you will indemnify and hold harmless Medresearch and its members, managers, employees, and agents from and against claims, damages, and reasonable expenses (including attorneys' fees) arising out of your breach of these Terms or your unlawful use of the Site, except to the extent caused by Medresearch's own breach of these Terms. This section does not apply to consumers to the extent applicable law does not permit it.
13. Eligibility
The Site's informational content and documentation may be viewed by anyone, and the Site is not directed to children. You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction if higher, to download the software, accept the EULA, make a purchase, or otherwise enter into a binding agreement with Medresearch through the Site.
14. Consumers in the EU, EEA, and United Kingdom
If you are a consumer resident in the European Union, the European Economic Area, or the United Kingdom, nothing in these Terms deprives you of the protection afforded by mandatory provisions of the law of your country of residence, and the venue provision in §15 does not deprive you of any right to bring proceedings in, or to benefit from the mandatory consumer-protection law of, your country of residence. Where those mandatory provisions conflict with these Terms, they prevail.
15. Governing law and venue
These Terms are governed by the laws of the State of Tennessee, U.S.A., without regard to its conflict-of-laws rules. Subject to §14, the exclusive venue for any dispute arising out of or relating to these Terms or the Site is the state and federal courts located in Davidson County, Tennessee, and the parties consent to personal jurisdiction there.
16. Changes to these Terms
We may update these Terms from time to time. The current version, with its version number and effective date, will always be posted on the Site, and material changes will be indicated by a new version number. Your continued use of the Site after an updated version is posted constitutes acceptance of the updated Terms.
17. General
These Terms are the entire agreement between you and Medresearch regarding use of the Site and supersede all prior understandings on that subject; they do not modify the EULA or the Privacy Policy. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions remain in effect. Medresearch's failure to enforce any right is not a waiver. You may not assign these Terms; Medresearch may assign them (for example, in connection with a merger or sale of assets).
